Founders: SPVs, cap table and opportunity submission

These FAQs are for information only and do not replace or modify any agreement, and do not constitute an offer, solicitation or investment commitment.

007i can support two main scenarios.

First, syndicating existing investors and cleaning up the cap table. An investor or sponsor group can use the Club to group their investors into a Club SPV, so the company's cap table is more orderly, with fewer direct shareholders and a cleaner, coordinated relationship. In this scenario, the SPV is led by an Agent 00, syndicated investors must become Club members and complete KYC/AML, and the investment is executed through the SPV.

Second, proposing an investment to the Club. A founder can submit an opportunity for the Club to evaluate and, if there is sufficient interest, the Club may structure an SPV to invest.
